Umera Ali, a partner in M&R’s Chicago office, is an extraordinary global finance attorney with a professional background unlike most others. She joined M&R after years in Bahrain associated with a U.S.-based blue-chip law firm.
While working in the Arabian Peninsula – and before that, in Pakistan – Umera developed a robust and sophisticated practice advising domestic and foreign financial institutions (issuers, underwriters, lenders, borrowers, and the like) in a wide range of credit and debt-issuance transactions. Her efforts on behalf of an expansive client base encompassed, among other things, asset-based financing, capital markets, project finance, derivative and structured finance, global banking facilities involving several layers of credit (e.g., multi-lateral agencies, senior, mezzanine, subordinated, and vendor), and Islamic and corporate finance. She also represented creditors and debtors in restructurings and workouts of various types of financial transactions. While continuing to service entities overseas, Umera brings this breadth of experience to M&R’s domestic clientele as well.
In terms of transactional counseling, Umera is quite well versed. She routinely provides guidance in connection with receivables financing transactions under both conventional and Islamic structures. Likewise, she advises on a variety of debt deals and debt-based financing arrangements, including straight debt; fund-linked, high-yield, and convertible bond offerings; subordinated debt; the establishment of global and Euro medium-term notes and commercial paper debt issuance programs; and the development of innovative convertible and exchangeable products. In addition, Umera has participated in several petrochemical, mining, infrastructure, and manufacturing finance transactions in Pakistan, Iraq, Yemen, and Saudi Arabia.
She is a revered dealmaker too. Umera has negotiated and structured a variety of complex transactions; drafted a laundry list of associated commercial agreements; and performed advisory and transactional work involving a number of product types (exchange-traded or centrally cleared, OTC, and securities) and underlying asset classes.
Truly a premier practitioner, Umera's global finance and leading edge deal work is, without question, a cut above.
Umera studied law at the University of Kent, England and did her postgraduate, bar vocational course, at City University (formerly Inns of Court School of Law) in London, and was called to the bar at the Lincolns Inn.
