Peter Cifichiello is senior associate in M&R's New York office. A dynamic business lawyer and member of the firm's Corporate & Securities Practice Group, he specializes in corporate transactions, including mergers and acquisitions, joint ventures and venture capital financings. He handles these matters, among many others, on behalf of technology, media, entertainment and cannabis companies, as well as other small and mid-cap corporations and financial institutions.

Peter is also well versed in commercial transactions that involve licensing, shareholder rights, vendor and consumer services, corporate governance and executive employment. He manages deals diligently, from beginning to end, while working closely with his clients, many of whom also call upon Peter to provide broad-based business advice in an outside general counsel capacity.

Peter’s deep understanding of his client’s businesses, respective risk tolerance and the legal issues most relevant to them is invaluable, and allows him to help companies seamlessly adapt to rapidly changing markets. Toward that end, Peter applies an execution-oriented approach to the practice of law that facilitates the efficient management of his clients’ growth, corporate structures, intellectual property and financial discipline. It is no wonder, then, that Super Lawyers named Peter a Rising Star for 2018 and 2019, and he is sought after for his legal and business commentary. In fact, Peter’s writings have appeared in Bloomberg Law, IP Watchdog, Marijuana Ventureand Cannabis Industry Journal.

Prior to law school Peter served as a Surface Warfare Officer in the United States Navy, aboard the USS Denver (LPD-9), deploying twice in support of both Operation Iraqi Freedom and Operation Enduring Freedom. During his service, Peter attained the rank of Lieutenant Commander and was awarded two Navy-Marine Corps Commendation Medals and a Navy-Marine Corps Achievement Medal. Thereafter, while earning his J.D. at Fordham Law School, Peter was a member of the Journal of Corporate and Financial Lawand the Brendan Moore Trial Advocacy Center.

Representative Matters

Acquisition: Represented a major media conglomerate in the purchase of an online training company, a transaction that involved the acquisition of a 100% stock interest in the company for approximately $500M. Handled the drafting and negotiation of the acquisition agreements as well as ancillary documentation, including executive employment agreements.

Acquisition: Represented a leading music publisher in its acquisition of a catalog that includes music written and performed by some of the most high-profile artists in history, a deal valued at over $100M.

Acquisition: Represented a computer hardware company that develops and markets advanced multi-touch computer interfaces in its $70M acquisition by a merger subsidiary of a global, publicly traded technology company. 

Joint Venture/Film Production: Represented motion picture production company in creation of joint venture with a screenwriter to facilitate film production.

Sales Transaction: Represented a technology company specializing in digital content delivery in its sale via merger to a publicly traded technology company for an aggregate closing price of $30M.

Sports and Entertainment: Represented sports and entertainment company in fundraising for a sports complex, including drafting and negotiating financing documents, finder’s agreements, and fund structure documents.

Sports and Entertainment: Developed and drafted endorsement and appearance agreements for athletes on behalf of talent agency.

Structured Financing: Represented a leading aviation services platform and top ten charter operator in a refinancing transaction resulting in it raising $60M in equity and debt to fund a number of strategic initiatives.
