Full Bio

Peter Cifichiello is a transactional lawyer and member of M&R’s Corporate & Securities and Tax Departments. In that capacity, he represents a broad range of entities – from media, entertainment and technology companies to small and mid-cap corporations and financial institutions – in all aspects of commercial law.

Peter handles corporate transactions from planning through closing, and works closely with clients in doing so. Toward that end, he negotiates term sheets, leads due diligence efforts and prepares agreements and additional deal documents that are typically associated with such transactions (stock and asset purchase agreements, merger agreements, disclosure documentation, and the like). In addition, he is well versed in corporate governance and provides his clientele with general corporate and business advice in an outside general counsel capacity. Indeed, Peter has extensive experience advising clients on agreements related to joint ventures, licensing, shareholder rights, confidentiality, non-competition, leasing, vendor and consumer services, LLC operations and executive employment, among other things. There is more. He also prepares corporate bylaws and minutes, board resolutions, human resource policies, employee handbooks and other day-to-day business-related documents.

Peter graduated with a B.A. degree from Tulane University. Upon commencement, he was commissioned in the United States Navy, and served as a Surface Warfare Officer aboard the USS Denver (LPD-9), deploying twice in support of both Operation Iraqi Freedom and Operation Enduring Freedom. During his service, Peter was awarded two Navy-Marine Corps Commendation Medals and a Navy-Marine Corps Achievement Medal. Following his honorable discharge from military service, he attended Fordham University School of Law, where he earned a J.D. and was a member of the Journal of Corporate and Financial Law and the Brendan Moore Trial Advocacy Center.
