Gozde Kadabayi is an associate in M&R’s New York office and a member of the firm’s White-Collar Defense & Investigations and International Arbitration & Trade Practice Groups. She is a native Turkish-speaking lawyer, who honed her skills at an Istanbul-based law firm (ranked Tier 1 by The Legal 500), managing international and domestic mergers and acquisitions; drafting, negotiating, and closing commercial contracts across industries; handling general corporate and corporate governance matters; and advising international corporations regarding anti-bribery, anti-corruption, and compliance-related matters involving the Foreign Corrupt Practices Act.
Prior to her legal work, Gozde interned at the Central Bank of the Republic of Turkey. She is also the co-author of “Commercial Real Estate”, Turkey Chapter, 3rd Edition, Global Legal Group (2016); and “The Anti-Bribery and Anti-Corruption Review”, Turkey Chapter, 4th Edition, Law Business Research (2016).
Worked on the negotiation and drafting of a construction and commercial contract on behalf of a leading Turkish construction consortium in connection with the construction of a logistical center in Senegal.
Advised the world's leading integrated oil and gas company concerning two terminals located in Istanbul and Antalya, Turkey, co-owned and co-operated by the client’s major competitors through a joint venture company.
Represented a massive port operator company in a contentious matter related to a port tender as well as zoning plan amendments.
Advised a prominent international private equity fund in connection with the lease of its Turkish subsidiary’s Istanbul headquarters.
Drafted and negotiated lease agreements for a global textile giant with a retail presence in shopping malls across Turkey.
General Corporate and Compliance
Represented multinational tobacco manufacturing giant in connection with various compliance issues, including anti-corruption and compliance with the Foreign Corrupt Practices Act.
Advised one of the “Big Four” accounting organizations and multinational professional services network regarding full range of corporate law-related matters, including review and negotiation of all kinds of contracts, day-to-day corporate and commercial transactions.
Advised a leading U.S.-based global manufacturer of composite wind blades and its affiliates in Turkey on various day-to-day corporate transactions, review and negotiation of commercial contracts, and preparation of compliance trainings particularly within the scope of the Foreign Corrupt Practices Act.
Represented a Canada-based engineering company manufacturing advanced natural gas engines and vehicles in the incorporation of its Turkish entity in the free zone in Izmir.
Prepared and provided corporate compliance related trainings for the Turkish Ethics and Reputation Society
Mergers & Acquisitions
Advised U.S.-based multinational that provides internet connection and related services relative to its acquisition of 100% of the shares of a UK-based data center company.
Advised prominent international private equity fund regarding its acquisition of 100% of the shares of one of the leading flour manufacturers in Turkey.
Advised a leading Chinese port operator regarding its acquisition of a Turkish company holding port operation licenses.
Advised one of Turkey’s prominent and leading tourism service providers regarding its acquisition of a marina in Aegean part of Turkey.
