Deepan Bajwa has over a decade of corporate law experience. He prepares various legal documents in connection with mergers and acquisition practice, including stock and asset purchase agreements, shareholders agreements, partnership agreements, subscription agreements, joint venture agreements and other investment related documents. Additionally, he drafts an array of legal documents in connection with debt financing practice, including: promissory notes, security agreements, pledge agreements and deposit account-control agreements.
Mr. Bajwa researches and advises clients on general corporation laws and stock exchange rules, including with respect to corporate governance, securities law filings and director fiduciary duties. Further, he drafts and negotiates various technology related contracts including software licensing agreements, SaaS agreements, information security agreements and IP services agreements.
Mr. Bajwa advises and supports businesses on general corporate matters including researching and advising on global legal policy and legal/commercial risk considerations. He also handles various commercial contracts including non-disclosure agreements (NDAs), consulting services agreements, vendor services agreements, outsourcing agreements, third-party services agreements, market data consumption agreements, SOWs, event registrations, speaking engagements and engagement letters with major accounting firms.
Other the course of his career, Mr. Bajwa has represented public and private corporations, financial institutions and private equity firms in domestic and cross border transactions, in both negotiated and auctioned scenarios, in connection with mergers and acquisitions, divestitures, capital investments and debt financing.
Mr. Bajwa is currently on assignment with a leading financial services group and global investment bank.
Mr. Bajwa received his J.D. from Cornell Law School and his B.A. from St. John’s University, where he was recognized on the Dean’s List and graduated Summa Cum Laude.
